Agreement to Terms

By downloading, installing, or using Vocly ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

1. Use of the App

1.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use Vocly for your personal, non-commercial purposes, subject to these Terms.

1.2 Restrictions

You agree NOT to:

  • Reverse engineer, decompile, or disassemble the App.
  • Use the App for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to our systems or networks.
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices.
  • Use automated tools to access the App without our prior written permission.
  • Abuse the free tier limits by repeatedly clearing app data to reset quotas.

2. Subscriptions and Payments

2.1 Free Tier

  • Includes 30 minutes of transcription per month.
  • Resets on the first day of each calendar month.
  • Usage is tracked locally on your device.

2.2 Pro Subscription

  • Monthly Plan: ₹99/month (or $3.99 USD internationally).
  • Yearly Plan: ₹999/year (or $39.99 USD internationally).
  • Unlimited transcription with premium AI (OpenAI Whisper).
  • All payments are processed through Google Play Billing.

2.3 Billing and Renewals

  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
  • You will be charged through your Google Play account.
  • Subscription management and cancellation can be done through Google Play settings.

2.4 Refunds

Refunds are handled by Google Play according to their refund policy. We do not process refunds directly. Contact Google Play support for refund requests within 48 hours of purchase.

3. User Content

3.1 Ownership

You retain all rights to your voice recordings and transcripts ("User Content"). We do not claim ownership of your recordings.

3.2 Storage

User Content is stored locally on your device. We are not responsible for data loss due to device failure, app uninstallation, or clearing app data.

3.3 Prohibited Content

You may not use Vocly to record or store content that:

  • Violates any law or regulation.
  • Infringes on intellectual property rights of others.
  • Contains malware, viruses, or harmful code.
  • Is defamatory, obscene, or offensive.
  • Violates the privacy of others (e.g., recording conversations without consent where required by law).

4. Third-Party Services

The App integrates with third-party services:

  • OpenAI Whisper API: For AI transcription (Pro users). Subject to OpenAI's terms and policies.
  • Google Play Billing: For subscription payments. Subject to Google's terms.
  • Android Speech Recognition: For basic transcription (Free users). Subject to Google's terms.

We are not responsible for the availability, accuracy, or policies of third-party services.

5. Disclaimers

5.1 "As Is" Basis

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

5.2 Transcription Accuracy

While we strive for high accuracy, we do not guarantee 100% accurate transcriptions. Accuracy depends on audio quality, background noise, accents, and other factors.

5.3 Service Availability

We do not guarantee uninterrupted or error-free service. The App may be unavailable due to maintenance, updates, or technical issues.

6. Limitation of Liability

To the maximum extent permitted by law, Vocly and its developer (Yadnyesh Rana) shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of data, revenue, profits, or business opportunities.
  • Damages arising from use or inability to use the App.

In no event shall our total liability exceed the amount you paid for the App in the 12 months preceding the claim (or ₹500 if no payment was made).

7. Indemnification

You agree to indemnify and hold harmless Vocly and its developer from any claims, damages, or expenses arising from your use of the App, violation of these Terms, or infringement of any rights of others.

8. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via the App or email. Continued use after changes constitutes acceptance of the updated Terms.

10. Termination

We may terminate or suspend your access to the App immediately, without notice, for conduct that we believe violates these Terms or is harmful to us, other users, or third parties.

You may terminate your use of the App by uninstalling it and canceling your subscription through Google Play.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Maharashtra, India.
